Subject: Appointment of the Company's governing bodies

The contents of the report:

Management of Talex S.A. informs that the Ordinary General Meeting of Shareholders held on the 7th of June 2022 appointed five Members of the Supervisory Board. Also, on its meeting on the same day, i.e. 7 June 2022, the Supervisory Board of the Company appointed five Members of the Management Board. The appointments to the Company’s governing bodies were dictated by the expiration of the term of office of all Members of the Supervisory Board and of all Members of the Management Board.

As a result of the appointments the composition of the Company’s governing bodies is as follows:

The Supervisory Board:

• Bogna Pilarczyk – President of the Supervisory Board
• Witold Hołubowicz – Member of the Supervisory Board
• Andrzej Kurc – Member of the Supervisory Board
• Jacek Nowak – Member of the Supervisory Board
• Małgorzata Poprawska – Member of the Supervisory Board

The Management Board:

• Janusz Gocałek – President of the Management Board
• Jacek Klauziński – Vice-President of the Management Board
• Andrzej Rózga – Vice-President of the Management Board
• Rafał Szałek – Member of the Management Board
• Radosław Wesołowski – Member of the Management Board

As a result of the choices made, there has been no change in the composition and number of Members of the Supervisory Board and the Management Board of the Company, as well as no change in the functions performed by the individual Members of the Supervisory Board and the Management Board of the Company, in relation to the previous term of office of both bodies of the Company. The profiles of individual Members of the Company’s governing bodies were presented with the publication of the current report No. 13/2018 and are permanently available on the Company’s website.

None of the appointed Members of the Company’s governing bodies is engaged in activities outside the Issuer’s business which would be competitive in relation to the business of the Issuer, in particular does not participate in any competitive company as of a joint stock company, and does not participate in another competitive legal entity as a member of its governing bodies. None of the appointed Members of the governing bodies is listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
