Subject: The establishment of a mortgage on the property of the Company

Legal basis: Art. 56 (1) (2) of the Act of 29th July 2005 on public offerings – current and periodic information

The contents of the report:

Management of Talex S.A. informs that the Company established a deposit mortgage for the amount of PLN 25.6 million to Bank Zachodni WBK S.A. with its seat in Wroclaw. The mortgage was established on 4 June 2014 by a declaration of the Management Board of the Company filed pursuant to Art. 95 paragraph 4 of the Act of 29 August 1997 Banking Law (Journal of Laws No. 140 item 939, as amended). The mortgage was established for the properties located in Poznan at Karpia, owned by the Company, built-up with office buildings and office and technology buildings (i.e., a plot of land No 508 of the 14,774 sq. m and a plot of land No 517 of the 5,282 sq. m), disclosed in the Land and Mortgage register kept by the District Court Poznan – Stare Miasto in Poznan, V Department of Land Registers. The mortgage in question represents a security to the investment credit agreement provided by Bank Zachodni WBK S.A to the Company in the amount of PLN 7.15 million gross for the realization of the project entitled "Creation of IT Centre providing modern services" (compare: current report 24/2013 and 3/2014). The total value of the properties on which the described security was established, recorded in the Company's accounts, amounts to PLN 16,4 million net.

No relationship exists, in the meaning of regulations for financial instruments trading, between the Company, managing persons, persons supervising the Company and the bank.

The criterion to acknowledge the assets as assets of significant value: the amount of equity.
